What Is Publication?

When you form a business, you may be subject to publishing requirements.

The obligation to publish a legal announcement about your business formation is mandated by a state or a county level law. At Vcorp, our dedicated professionals will do all that is necessary to meet the unique requirements of each state or county, as we are constantly current with all regulations.

You will receive your Proof of Publication after your legal announcements have completed running for the required number of weeks.

Publication Requirements

States that require LLCs (Limited Liability Companies) to publish upon formation include: Arizona, Georgia, Nebraska, New York and Pennsylvania. States that require Corporations to publish include: Arizona, Georgia, and Pennsylvania. Failure to meet the publication requirements may cause your business to be suspended by the state. Vcorp will complete each step in the process for you. Our service includes:

  • Affidavits of Publication and/or Certificate of Publication*

* An Affidavit of Publication is a sworn, written statement made in the presence of a notary public or a person who is authorized to administer an oath, attesting that the publication took place on specified days. Affidavits of publication must be filed with the state, along with other information contained in a Certificate of Publication as proof that the entity has met the publication requirements.

Q: Which States require publication?

A: For LLC formations: Arizona, Nebraska and New York require publication.

A: Publication rates vary by state and county. Use the price calculator above to determine the publication fee associated to your LLC’s state and county.

Q: What happens if I don’t publish?

A: Depending on the specific state, the penalties for not complying with the publication requirement varies. Please consult your legal counsel for details.

Q: How long does it take?

A: In New York, the legal notice runs in the newspapers for 6 weeks and it takes about 3 months for the entire process, including filing with the Secretary of State. In other states, the turnaround times vary by state and county.
In Georgia, publication runs for two weeks, and is then submitted to the Secretary of State. Completed turnaround time is roughly three weeks.

In Pennsylvania, the notice is ran in both a legal paper and a general circulation paper. Completed turnaround time is roughly two weeks.
In Arizona, the notice runs in the newspaper for three weeks. Completed turnaround time is roughly four weeks.
In Nebraska, the notice runs in the newspaper for four weeks. Completed turnaround time is roughly five weeks.


Q: When do I have to publish?

A: • New York: The publication is required to occur within 120 days of the LLC formation.
   •Arizona: The publication is required to occur within 60 days of the LLC formation.
   •Nebraska: The publication is required after approval (formation) of the LLC.
   •Georgia: The publication is required alongside the formation.
   •Pennsylvania: The publication is required to be completed immediately after incorporation of the company.
